Quotations
All quotations are valid for 30 days unless otherwise specified.
Pricing may change if project requirements are modified after approval.
Project Commencement
A project begins only after:
- Requirement confirmation
- Quotation approval
- Advance payment received
Payments
Payment terms may vary depending on the project.
Typical structure:
- 50% Advance
- 30% During Development
- 20% Before Final Delivery
Late payments may delay project delivery.
Project Timeline
Delivery timelines are estimates based on approved requirements.
Delays caused by:
- Late client responses
- Additional feature requests
- Third-party service delays
may extend the project timeline.
Revisions
Reasonable revisions are included based on the agreed project scope.
Major design or feature changes after approval may incur additional charges.
Client Responsibilities
The client agrees to provide:
- Required content
- Images
- Logos
- Credentials
- Feedback
- Approvals
within a reasonable timeframe.
Intellectual Property
Upon full payment:
- The client owns the final approved project deliverables unless otherwise agreed.
- Cognify Solution retains ownership of proprietary tools, frameworks, reusable code, and internal development resources.
Confidentiality
All client information and project details will remain confidential unless disclosure is required by law.
Support & Maintenance
Support is provided according to the selected package.
Additional maintenance services may require a separate agreement.
Limitation of Liability
Cognify Solution Pvt. Ltd. shall not be liable for:
- Business losses
- Revenue loss
- Third-party service failures
- Search engine ranking changes
- Hosting downtime
- Cyber attacks beyond reasonable control
Termination
Either party may terminate the project through written communication.
Work completed until termination will be billed accordingly.
Governing Law
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the jurisdiction of the competent courts where Cognify Solution Pvt. Ltd. is registered.
