Terms & Conditions

These Terms & Conditions ("Terms") govern the access to and use of services provided by Cognify Solution ("Company", "We", "Us"), located at Hanjer Nagar, Andheri East, Mumbai, Maharashtra 400093, via our website cognifysolution.com or formal service contracts.

By signing a Statement of Work (SOW), paying a project deposit, or accessing our platform, you ("Client", "User") explicitly agree to be bound by these Terms.

Cognify Solution provides high-performance technology services including, but not limited to:

• Custom Web Design & Front-End/Back-End Engineering
• Mobile Application Development (iOS & Android)
• E-Commerce Platform Development & Payment Integrations
• Cloud Infrastructure Setup & Maintenance
• Custom CRM, ERP, and Enterprise Software Systems
• IT Consultancy, Digital Marketing, and UI/UX Design

Intellectual Property (IP) rights are structured as follows:

• Pre-Existing IP: Cognify Solution retains full ownership of pre-existing software frameworks, libraries, developer tools, and reusable components utilized in development.
• Custom Client Deliverables: Upon 100% full and final payment of all agreed project invoices, complete legal ownership and IP rights of custom-created source code, design assets, and graphics are fully transferred to the Client.

To ensure timely project execution, the Client agrees to:

1. Provide accurate project briefs, required text/media content, and branding guidelines in a timely manner.
2. Grant necessary server, domain, API, or third-party platform credentials required for integration.
3. Review project milestones and provide feedback within 3 to 5 business days of delivery.

Project delivery schedules outlined in SOWs are directly contingent upon prompt client cooperation.

Any feature request, design variation, or technical modification not explicitly defined in the approved Statement of Work (SOW) shall be classified as a Change Request. Cognify Solution will evaluate the impact on timeline and cost, providing a written Change Order for client approval prior to implementing out-of-scope work.

Both Cognify Solution and the Client mutually agree to maintain strict confidentiality regarding all non-public business information, financial data, software blueprints, and trade secrets disclosed during engagement. This obligation survives termination of the contract for a period of 3 years.

To the maximum extent permitted by applicable law, Cognify Solution shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of revenue, business interruption, or data corruption). Our total cumulative liability under any claim shall not exceed the total net fees actually paid by the Client to Cognify Solution for the specific project during the 3 months preceding the claim.

Either party may terminate a project by providing a 14-day written notice to the other party. Upon termination:

• The Client shall pay for all work completed and milestones achieved up to the termination date.
• Cognify Solution will deliver all completed assets corresponding to paid milestones.

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes, claims, or legal proceedings shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
